		<description>One drawback for Stock Sales: very few buyers are willing to take the risk.  Buying stock is, in effect, buying the history of the business including any hidden liabilities (including tax liabilities) incurred by the seller.  Purchase agreements will contain the seller&#039;s representations and warranties against those items, however many buyers still avoid those scenarios.  Therefore, a seller that insists on a Stock Sale will be limiting the number of eligible buyer candidates.</description>
